END USER LICENCE AGREEMENT (EULA)
EZEConnect Software – PPC ID Solutions Pty Ltd (ABN 5143383594)
Effective Date: 13th February 2026
This End User Licence Agreement (“Agreement”) is between PPC ID Solutions Pty Ltd ABN 5143383594 (“PPC”, “we”, “us”) and the customer (“Customer”, “you”). By installing or using the EZEConnect software (“Software”), you agree to be bound by this Agreement.
1. Licence Grant
1.1 PPC grants you a non‑exclusive, non‑transferable, revocable licence to install and use the Software solely to retrieve data from approved cloud‑based systems and integrate it with your local CardExchange database for ID card production.
1.2 The licence is provided on an annual subscription basis. Access to connectors, updates, and support requires an active subscription.
2. Ownership and Intellectual Property
2.1 The Software is licensed, not sold.
2.2 PPC retains all IP rights in the Software, connectors, and documentation.
2.3 You must not (except to the extent permitted by non‑excludable law): copy (beyond a reasonable backup), modify, reverse engineer, decompile, create derivative works, resell, sublicense, or make the Software available to third parties.
3. Customer Responsibilities
3.1 You are solely responsible for:
(a) creating, securing, and managing API credentials;
(b) compliance with third‑party API terms and acceptable‑use policies;
(c) your network, operating environment, and security;
(d) verifying accuracy and suitability of data transferred and printed.
3.2 Credentials are stored and encrypted locally on your systems and are not transmitted to or stored by PPC.
3.3 You acknowledge PPC does not access, receive, process, or store any personal information via the Software.
3.4 You acknowledge and agree that you will only use approved third party API software.
3.5 You agree that you will not adapt or modify the software or use the software in any “mission critical safety” processes
4. Data Flow & Privacy
4.1 All data transfers occur directly between your system and the third‑party cloud provider via their official APIs.
4.2 PPC does not collect or retain any data. EZEConnect operates as a transient handler and is incapable of storing any personal information.
4.3 PPC does not hold any personal information for the purposes of the Privacy Act 1988 (Cth). You remain responsible for compliance with privacy and data governance obligations applicable to your organisation.
5. Write‑Back Functionality
5.1 Where supported by the API, the Software may write back ID card serial numbers or other designated fields as configured by you.
5.2 You must authorise such write‑backs and remain responsible for permissions, accuracy, and approvals within your source system.
6. Updates, Compatibility & Availability
6.1 PPC may provide updates, fixes, and new connectors at its discretion.
6.2 Third‑party APIs may change or become unavailable. PPC does not guarantee uninterrupted operation, continued compatibility, ongoing availability or any features relating to any API or connector.
7. Support
7.1 Support is available only with an active subscription and covers Software operation.
7.2 Support only includes initial installation of software, initial configuration of software and operation of software. It excludes custom integration, environment/network remediation, and third‑party platform issues.
8. Term and Termination
8.1 This Agreement continues for the subscription term and automatically ends if the subscription lapses or you materially breach this Agreement.
8.2 On termination or expiry, you must cease use and uninstall the Software.
8.3 You acknowledge and agree that upon termination or expiry of the subscription term the software will be remotely uninstalled by PPC and will no longer be operational.
9. Liability
9.1 To the maximum extent permitted by law, PPC excludes liability for: loss of data; loss caused by third‑party API changes or outages; security incidents arising from your credential management; and any indirect or consequential loss.
9.3 PPC’s aggregate liability for all claims in a 12‑month period is capped at the fees paid for the Software in that period.
10. Indemnity
You indemnify PPC against any claims, losses, and costs arising from: (a) your breach of this Agreement or third‑party API terms; (b) your misconfiguration or misuse of the Software; (c) unauthorised access resulting from your credential or environment management; (d) for any non-permitted use of the software, (e) any use of software with incompatible third party API; and (f) Any otherwise improper use of the software.
11. Governing Law
11.1 This Agreement is governed by the laws of the State of Queensland and the Commonwealth of Australia.
11.2 You irrevocably and unconditional submit to the nonexclusive jurisdiction of the Courts of Queensland and the Courts entitled to hear appeals in these Courts.
12. Acceptance
By installing, configuring, or using the Software, you confirm acceptance of this Agreement.
